Can a foreigner own and manage a company in Romania?
Yes. 100% of the founders and directors of a Romanian company may be non-residents. Romanian citizenship or a residence permit is not required to register an SRL.
For operational activities, a bank or payment account must be opened. Conditions depend on the business structure and the company’s economic presence in Romania.
Is it necessary to have a local director or representative?
No. A Romanian SRL does not require a local director. A non-resident may act as a director.
In some cases (depending on the bank or business activity), having a local contact representative may simplify operational procedures.
Can the company be managed fully remotely?
Yes. An SRL can be managed entirely remotely. The founders and director may reside outside Romania.
Accounting, reporting, and most corporate procedures are handled online through electronic systems. Personal presence is usually required only for certain banking procedures (depending on the bank).

Yes. To apply the 1% micro-enterprise tax regime, the company must have at least one employee.

When does VAT registration become mandatory in Romania?
VAT registration becomes mandatory once the company exceeds the annual turnover threshold established in Romania.A company may also voluntarily register for VAT to work with EU partners or to operate in e-commerce.
For online sales within the EU, the OSS (One-Stop-Shop) system may be used for centralized VAT reporting.
Is it possible to open a bank account remotely?
A bank account can be opened either with a Romanian bank or with an EU payment institution. The bank’s decision depends on the company's structure, business activity, and the presence of economic substance in Romania (e.g., an office, employees, contracts).
As an alternative, European fintech platforms such as Wise, Revolut Business, or Payoneer account, may be used. These solutions support international payments and provide SEPA accounts.
