Who must file the BOI report?
BOI (Beneficial Ownership Information Report) -is a report submitted to FinCEN (Financial Crimes Enforcement Network, US) containing information about the company’s ultimate beneficial owners. This report was introduced under the Corporate Transparency Act (CTA), effective January 1, 2024.
Most legal entities, established or registered in the USA,are required to report, including LLCs and C-Corps which are the most common company types among non-residents). The report must list all beneficial owners who exercise “substantial control” over the reporting company or who own or control 25% or more of the company’s shares.
What are the deadlines for submitting the BOI report?
Companies established before 2025 were required to file the report within 90 days of the registration date. Any changes related to ownership in an existing company must be reported within 30 days. All new companies formed on or after January 1, 2025, have only 30 calendar days to submit the report.

All new and existing companies in the United States, including LLCs and C-Corps. Companies established before January 1, 2024, had to file by January 1, 2025. Those created in 2024 had 90 days from the date of formation. Companies formed in 2025 or later must file within 30 days of formation.

The BOI report is filed online, on the official FinCEN website.To file, you will need a copy of each beneficial owner’s document (passport/ID), their residential address in English with a postal code, and company registration documents for all participants.
